The Political Economy of Takeover Statutes, 73 Virginia Law Review 111 (1987)
Abstract
The most lively debate in corporate law today concerns takeovers.
There are two important questions. The first is whether takeovers, or efforts to prevent them, are in the interest of shareholders. This has implications for the second issue-whether, and to what extent, the states and the national government should regulate offers and defenses. This article seeks to shed light on both of these questions by examining the actions of states and firms in
the takeover game.
